Board Member Code of Conduct & Ethical Standards
As a member of the Board of Directors of The Saturday Club, I acknowledge that I serve in a position of trust, leadership, and visibility within a charitable organization. I understand that my actions reflect not only on myself, but on the Club as a whole, and that Board service carries an obligation to lead with integrity, sound judgment, and respect for the Club’s mission and community – in all situations.
This agreement is for the entirety of the duration of your role as a Board member, regardless of the role you hold.
In accepting this role, I agree to uphold the following standards:
- Integrity, Judgment, and Good Faith: I will act honestly, ethically, and in good faith in all matters related to the Club. I will exercise sound judgment and place the interests of The Saturday Club above personal interests or relationships when conducting Club business.
- Standard of Conduct: I recognize that Board Members are expected to lead by example and are therefore held to a higher standard than general membership. I will conduct myself with professionalism, discretion, and respect in all interactions, communications, and Club-related activities, and will ensure my behavior reflects positively on the Club and supports its mission.
- Respectful Engagement and Collaboration: I will communicate constructively with fellow Board Members, Club members, and external partners. I will not engage in behavior that undermines the effectiveness, cohesion, or reputation of the Board or the Club. I understand that my role may include duties that coincide with another Board member’s role, and that respectful collaboration is expected to ensure the Club’s interests are prioritized.
- Stewardship and Accountability: I acknowledge a shared responsibility with fellow Board Members to uphold the Club’s standards of integrity, ethics, and responsible governance. I will act in a manner consistent with the Club’s values, recognizing that Board actions should reflect good judgment, accountability, and respect for the broader membership and community.
- Conflicts of Interest: I will disclose any actual or perceived conflicts of interest in advance to the best of my ability, and recuse myself from discussions or decisions where appropriate.
- Support of Board Decisions: I understand that the decisions made by the Board in the interest of the Club may differ from that of my own personal opinions. I will support the decisions of the Board, understanding that my responsibility is equally shared among all members of the Board, and will not act in a way that undermines those decisions once made.
- Commitment to Mission: I will actively support and promote the mission, values, and initiatives of The Saturday Club, fostering a positive and inclusive environment for all members.
- Compliance and Enforcement: I understand that adherence to this Code of Conduct is a condition of Board service. Failure to meet these expectations may result in review and action by the Board, including removal from a Board position and, when warranted, removal from Club membership, in accordance with the Club’s By-laws or governance procedures.
